TERMS AND CONDITIONS OF AUCTION
Identification
All visitors to any property listed on this Website or otherwise offered by Auction Brokers, LLC (“Auction Property”) are required to provide their full name, address and phone number and ensure that they have read the terms and conditions (“Terms and Conditions”) prior to the inspection of any Auction Property.
Contracts
Each and every successful bidder (“Successful Bidder”) of Auction Property must sign all documents and contracts immediately upon conclusion of the auction (“Auction”).
Deposits
All prospective purchasers (“Prospective Purchasers”) are required to provide an initial buyer's premium deposit, in an amount required for each respective Auction Property, and made in the form of a cashier’s check or certified check at the time of the auction sale date (“Sale Date”). Each and every Successful Bidder shall be required to increase the buyer's premium deposit amount (“Buyer's Premium Deposit Amount”) to ten (10%) of the bid amount (“Bid”) within three (3) business days of the Sale Date. All cashier’s checks or certified checks shall be made payable to the Prospective Purchaser who shall then endorse the check over to Auction Brokers, LLC (“Auction Brokers”) when they become the Successful Bidder and the purchaser (“Purchaser”) of the sold property (“Sold Property”).
Buyer’s Premium
A buyer’s premium (“Buyer’s Premium”) equal to ten percent (10%) of the successful high big (“Successful High Bid”) shall be added to the Successful High Bid and included in the total purchase price (“Total Purchase Price”) to be paid by the Successful Bidder to Auction Brokers.
Closing
The Successful Bidder shall ensure that the closing (“Closing”) of the Sold Property shall take place within thirty (30) calendar days of the Sale Date. Immediately beginning on the thirtieth (30th) calendar day following the Sale Date, interest in an amount equal to one percent (1%) of the Total Purchase Price per month (“Interest”) shall be paid by the Purchaser on any and all unpaid amount (“Unpaid Amount”) of the Total Purchase Price. Time is of the essence with respect to Closing. Upon payment in full of the Total Purchase Price the Purchaser shall be entitled to a deed for the Sold Property and its lawful possession.
Notice
Any and all information on Auction Property contained in information packets or other advertisements of Auction Brokers (“Information”) are obtained from sources that may be third parties and are believed to be accurate. Auction Brokers makes no representations, warranties or guarantees of any kind whatsoever, express or implied, with respect to such Information. All Prospective Purchasers are required to independently investigate and confirm any Information or assumptions of the Auction Property on which any bid for such Auction Property may be based or made. Neither Auction Brokers, nor the sellers of the Auction Property (“Sellers”) shall be liable for any errors or the correctness of the Information. Auction Property is offered for sale to qualified bidders (“Qualified Bidders”) without regard to the Prospective Purchaser’s race, color, religion, sex, national origin, handicap, age, marital or veteran status, or any other legally protected status. All announcements made at the Auction on the Sale Date take precedence over any and all other Information or printed material. Auction Property may be added or deleted at anytime without prior notice. Auction Property and any and all improvements shall be sold “As Is” without representation or warranty of any kind whatsoever, including any representations regarding environmental conditions affecting the Auction Property, freedom from structural defects, or construction of the Auction Property in a workmanlike manner. Neither Auction Brokers nor the Seller shall make or have made any representation or warranty of any kind whatsoever with respect to the accuracy, correctness, or completeness of the Information, the contents or meaning of the Information, or the valuation of the Auction Property. Any decision to purchase or not purchase the Auction Property is the sole and independent business decision of the Prospective Purchaser. No recourse or cause of action shall lie against Auction Brokers, the Seller or any other related party should the Prospective Purchaser, Successful Bidder and/or Purchaser become unhappy or dissatisfied with their decision at a later date.
Cancellation or Withdrawal from Sale
The auctioneer (“Auctioneer”) reserves the right to withdrawal from Auction any Auction Property listed in the Information or elsewhere at anytime without prior notice. Auctioneer reserves the right to cancel the Auction or sale of any Auction Property at any time prior to the commencement of bidding on the Auction Property. The bidder (“Bidder”) with the highest Bid that is acknowledged by the Auctioneer shall be the Successful Bidder. The Auctioneer has the right to reject any Bid or raise which, in their opinion, is not commensurate with the value of the Auction Property. In the event of any dispute between one or more Bidders, the Auctioneer shall be allowed to determine the Successful Bidder or re-offer and re-sell the Auction Property that is in dispute. Should there be any dispute after the Auction, Auction Brokers’ record of final sale shall be conclusive.
Agency
Bidders shall look only to the Sellers with respect to any and all matters regarding the Auction Property. The Auctioneer shall not be responsible or liable in any way whatsoever should: (a) the Seller fail to honor a Bid; (b) the Seller refuse to settle or close title (“Close Title”); (c) the Seller be unable to Close Title in accordance with the Successful High Bid or any contract entered into with respect thereof; (d) the Auction Property be contaminated with hazardous waste; (e) the Auction Property be in need of attention or repairs; or (f) the Auction Property be in any way not satisfactory to the Successful Bidder. It shall be the sole responsibility of the Prospective Purchaser to verify all specifications of the Auction Property prior to Sale Date.
Rights
All announcements made on the Sale Date take precedence over any prior written or verbal terms or Information with respect to the Auction Property or otherwise. If any conditions contained herein are not complied with by the Prospective Purchaser, Successful Bidder and/or Purchaser, Auction Brokers shall, in addition to asserting all of its remedies available by law, including the right to hold a defaulting purchaser (“Defaulting Purchaser”) liable for the Total Purchase Price, either: (a) cancel the sale and retain as liquidated damages any payment made by such Defaulting Purchaser; (b) resell the Auction Property without a reserve price (“Reserve Price”) at Auction or in private within seven (7) days’ notice to such Defaulting Buyer, or (c) take any other action that is shall deem necessary or appropriate. Should Auction Brokers resell the Auction Property, the Defaulting Buyer shall be liable for payment of any deficiency in the Total Purchase Price as well as any and all costs and expenses, including but not limited to, the expenses of both Auction sales, reasonable attorney’s fees, commissions, and any other incidental damages or other charges hereunder.
Jurisdiction
The respective rights of a Prospective Purchaser, Successful Bidder, Purchaser or any other related party with respect to the Terms and Conditions of Auction and the conduct of an Auction shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflicts of law principles. By submitting a Bid at Auction, whether in person, over the telephone, through an agent, written or by any other means, the Prospective Purchaser shall be deemed to have consented to the personal jurisdiction of the State and Federal courts located within the State of Maryland. Exclusive jurisdiction for any dispute, controversy or claim arising out of or in connection with an Auction or with respect to an Auction Property shall be in the State or Federal courts of competent jurisdiction located in Baltimore, Maryland.
